for charitable donation

This public offer for charitable donation (hereinafter – “Offer”) is aimed at an uncertain circle of individuals and legal entities and is a public proposal of the NGO “Geothermal Ukraine” (EDRPOU code 44900467) (hereinafter – “GU”) represented by the Head of the Board, Taras Popadynets, acting on the basis of the Statute, to conclude the Agreement on charitable donation (hereinafter- “Agreement”), together are referred to as the "Parties", and each individually as a "Party".

1. Terms and definitions

Public Offer (and/or the Offer) is a valid proposal of the GU published on the site https://geothermalukraine.org to provide a charitable donation aimed at an unlimited circle of individuals and legal entities.

Acceptance is the complete and unconditional

acceptance of the Offer by means of actions aimed at the execution of money transfer using payment forms and tools as well as transferring money to the GU’s bank account through the bank. The Offer is considered to be accepted from the date of money transfer to the bank account of the GU.

The charitable donation (and/or the Donation) is a Donor’s free money transfer into the possession of the GU for the further use and achievement of the purposes of the GU, under the Statute GU.

The Donor is an individual and/or legal entity who has accepted the Offer.

2. Subject of the Agreement

The subject of this Agreement is a free and voluntary money transfer by the Donor in the possession of the GU through executing voluntary donations for the implementation of goals and activities, as set out in the Statute of the GU. The Parties shall confirm that the subject of the Agreement is not for receiving profit directly or indirectly by either Party. The Donor shall determine the amount of a donation independently. The Donation is voluntary and unreturnable.

3. Acceptance of the Offer

By accepting this Offer, the Donor shall certify that he agrees with all the terms of the Offer, familiar with the GU’s Statute, which is published in electronic form on the GU website https://geothermalukraine.org/ , fully understands and agrees with the subject of the Agreement, and he shall confirm a right of the GU to spend the part of charitable donation on GU administrative expenses according to the existing Law of Ukraine.

The Parties shall agree that as of the moment of

accepting the Offer, this Agreement is concluded in writing pursuant to the articles 207, 639, 641 and 642 of Civil Code of Ukraine. The Parties shall also agree that after accepting the Offer, the failure to conclude this Agreement in a form of a separate document does not entail the invalidity of this Agreement.

4. Procedure for the use of charitable donations

The use of raised charitable donations shall be

carried out regarding the purposes of the charter activity of the GU, and also for the use of a particular program and/or project, which the Donor can choose on the GU’s web-site https://geothermalukraine.org/

The Organization shall use charitable donations at its own discretion. The funds received by the GU are not returnable.

5. Procedure of executing charitable donation:

5.2. The payment is considered to be made by the Donor, at the moment of receiving the confirmation of the successful transaction from the bank or the payment system. All the expenses associated with money transfer to the GU bank and the expenses for covering the fees of the payment provider shall be borne by the Donor.

6. GU is entitled to:

Receive charitable donations and use them under the subject and terms of this Agreement and within the scope of the activity stipulated by the Statute of the GU.

Change the threads of charitable donation use within the scope of the GU Statute activity, at his own discretion,

Use the part of charitable donation for the GU’s administrative expenses, in the amount not exceeding the rate stipulated by the Law of Ukraine .

7. GU is obliged to:

Create conditions necessary for the Donor to make a charitable donation in accordance with the terms of the Offer.

Use received donations under the subject and terms of this Agreement and within the scope of the activity stipulated by the Statute of GU;
Keep confidential information (including personal data) received from the Donor, not to transfer it to third parties without the Donor's consent, except for cases established by the Offer and current legislation of Ukraine.

Place and terms of receipt of charitable donations

The public fund-raising shall be carried out in the territory of any country of the world. The activity of the GU associated with the public fund-raising shall be carried out at the place of location of the GU.

The public fund-raising continues until the moment of liquidation of the GU, unless another term is determined by the GU.

9. Liabilities

In case of non-compliance or improper compliance with the liabilities set out in this Offer, the Parties shall bear responsibility under the existing Law of Ukraine and the terms of this Offer.

GU shall not be liable, in case if the third

parties execute or do not execute actions due to

which, the GU shall not be able to fulfill its

liabilities under the Offer.

10. The term of fund–rising, effective period of the Offer, amendments and annexes.

The Offer shall come into effect as of the date of its publishing on the web-site https://geothermalukraine.org/ and be effective until the moment of the GU`s liquidation, if another term is not determined by the Organization. The provisions of this paragraph shall be applied to annexes and amendments of the Offer.

GU shall be entitled to change the terms of the

Offer without notifying the Donor, additionally. The GU shall reserve the right to change the terms of the Offer at his own discretion any time, without any limitation via publishing a new edition of the Offer on the web-site https://geothermalukraine.org/

The Donor shall monitor the amendments to this

Offer independently by reading a new (actual), valid edition on the web-site https://geothermalukraine.org/

The Donor shall not be able to amend the Offer.

11. Disputes resolution

All the disputes and disagreements arising from this Agreement or its interpretation, by action or

termination, shall be solved in a court of Ukraine, pursuant to the requirements stipulated by the Law of Ukraine. During the dispute resolution, the Ukrainian law shall be applied.

12. Procedure for the general access to

Information

The Donor, by Accepting the Offer confirms that he/she has read, understood and given his/her

consent to collect and process his/her personal data under the existing Law of Ukraine and under any applied law of another country and/ or organization.

Furthermore, by Accepting the Offer, the Donor

confirms that he is acquainted with the Annex 1 to this Agreement and gives his/her consent to collect, process and use the personal data in the order stipulated by the Annex 1 to this Agreement and by the existing Law of Ukraine.

GU shall not pass the information on the

Donor’s contact details to the third parties except the cases, directly stipulated by the Law of Ukraine. Besides, the Donor gives his/her consent that the information about him/her can be used in the press (solely by his/her additional consent) by the GU or on the GU web-site https://geothermalukraine.org/
